These Terms of Service (“Terms”) govern your access to and use of proprogrammingusa.com (the “Website”) and the automotive module programming, cloning, virginization, diagnostic, testing, and repair services offered through the Website.

The Website and services are operated by Artem Matusiak, doing business as Pro Programming USA (“Pro Programming USA,” “we,” “us,” or “our”), located in Sacramento, California.

By accessing the Website, creating a dealer account, submitting a service order, shipping an item to us, or purchasing a service, you agree to these Terms. If you do not agree, do not use the Website or submit an order.

Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to place an order.

By submitting an automotive module, key, component, vehicle information, or related data, you represent that:

you own the vehicle or item, or have the owner’s authorization;

you are legally authorized to request the selected service;

the item is not stolen or unlawfully obtained; and

the requested work will be used only for a lawful purpose.

We may request proof of ownership, identification, vehicle registration, or other authorization. We may refuse or cancel any order that appears unlawful, unsafe, fraudulent, or inconsistent with these Terms.

Services

Pro Programming USA provides mail-in and, when available, local automotive electronic services, including:

module programming, coding, and flashing;

module cloning and vehicle-data transfer;

virginization and reset services;

diagnostics and bench testing;

component-level module repair;

SRS and crash-data services; and

other automotive electronic services listed on the Website or accepted by us.

Service availability depends on the module, vehicle, part number, condition, previous repairs, available data, required components, and technical feasibility.

Submitting an order does not guarantee that we can complete the requested work. We may decline an order before work begins or determine after inspection that an item is damaged beyond repair, incompatible, previously modified, or otherwise unsuitable for service.

Estimates and Pricing

Prices displayed on the Website are starting prices unless expressly identified as fixed prices.

Final pricing may depend on:

the item’s physical and electronic condition;

the selected service;

required parts or replacement components;

prior damage, corrosion, water exposure, or attempted repairs;

missing or corrupted data;

the number of modules, keys, or components supplied; and

additional diagnostic or programming work.

If the final price materially exceeds the price initially presented, we will request your approval before performing the additional work. If you decline the revised price, diagnostic, inspection, shipping, or other disclosed charges may still apply.

Applicable taxes and shipping charges may be added at checkout or invoiced separately.

Payments

Payments may be processed through Stripe. We do not directly store complete payment-card information.

You authorize us and our payment processor to charge the amount shown at checkout, in an approved estimate, or on an invoice. Dealer pricing, credits, and payment terms apply only when separately approved by us.

Orders may be placed on hold until payment is received. Chargebacks do not replace the refund or dispute process described in these Terms. Please contact us first at proprogrammingusa1@gmail.com so we can attempt to resolve the issue.

Order Information and Customer Responsibilities

You must provide complete and accurate information, including the vehicle make, model, year, VIN, module or part number, symptoms, requested work, return address, and package contents.

You are responsible for:

confirming that the submitted module is appropriate for the vehicle;

supplying all modules, keys, security data, donor components, connectors, or other items reasonably required for the service;

disclosing water damage, fire damage, reverse polarity, previous repairs, tuning, modifications, and known faults;

backing up data when reasonably possible;

properly removing and reinstalling the module; and

having installation, diagnosis, coding, calibration, and vehicle testing performed by a qualified technician when appropriate.

We are not responsible for delays, failed results, or additional costs caused by incorrect information, incompatible components, undisclosed damage, missing items, improper installation, or unrelated vehicle faults.

Shipping and Packaging

Unless otherwise agreed, you are responsible for shipping items to us. You must package electronic modules securely using anti-static material or protective wrapping, sufficient padding, and a sturdy container. Keys and small components should be placed in labeled, sealed bags.

You bear the risk of loss or damage until the shipment is delivered to and accepted by us. We are not responsible for inbound carrier delays, loss, theft, or shipping damage.

Return shipping may be purchased from us or provided using your prepaid label. Once a completed order is transferred to the return carrier, carrier terms and limitations apply. Claims for shipping loss or damage must be made promptly with the carrier. We will provide reasonable supporting information when available.

You are responsible for verifying the return address before shipment. Additional shipping charges resulting from an incorrect or incomplete address may be charged to you.

Turnaround Times

All turnaround times, including same-day, 24-hour, and one-to-three-day descriptions, are estimates unless we expressly agree otherwise in writing.

Turnaround begins after:

the complete shipment is received;

all required items and information are available;

the module has been inspected;

any revised estimate has been approved; and

required payment has been received.

Turnaround estimates do not include inbound or return shipping time. Parts availability, technical condition, additional testing, customer response time, carrier delays, holidays, and circumstances beyond our reasonable control may extend completion time.

Cancellations

You may cancel an order at any time before diagnostic, programming, cloning, repair, disassembly, data extraction, parts ordering, or other substantive work has begun.

Once work has begun, cancellation is not guaranteed. You may be responsible for work already performed, diagnostic time, parts ordered, payment-processing costs where legally permitted, and return shipping.

To request cancellation, email proprogrammingusa1@gmail.com with your name and order number. A cancellation is effective only after we confirm it.

Returns, Service Claims, and Limited Warranty

Because we provide customized services to customer-supplied automotive components, completed services generally cannot be returned in the same manner as unused retail merchandise.

Retail customers must notify us of a claimed service problem within 30 days after receiving the returned item. Approved dealers and wholesale customers must notify us within 60 days after receiving the returned item.

To request assistance, email proprogrammingusa1@gmail.com and provide:

the order number;

vehicle and module information;

a description of the problem;

relevant diagnostic codes or scan reports; and

photos or other evidence reasonably requested by us.

We may require the item and related components to be returned for inspection. Do not ship an item without receiving return instructions.

If we determine that an eligible problem was caused by our workmanship, our obligation will be, at our option and subject to applicable law, to:

reperform the service;

repair or reprogram the item;

issue a service credit; or

refund the amount paid for the affected service.

Original and return shipping charges are nonrefundable unless the claim resulted from our error or applicable law requires otherwise.

This limited warranty does not cover:

incorrect diagnosis by the customer or another repair facility;

unrelated vehicle defects;

incompatible donor modules or incorrect part numbers;

improper installation, coding, adaptation, wiring, grounding, or calibration;

damage caused by overvoltage, reverse polarity, short circuits, water, fire, impact, corrosion, or improper handling;

tampering, opening, modification, tuning, or repair after our service;

normal wear or failure of components not replaced by us;

missing, corrupted, or inaccurate source data;

loss of keys, synchronization, adaptations, settings, or vehicle data caused by other work; or

an item used in racing, experimental, or other unintended applications.

Nothing in these Terms excludes any warranty, remedy, or consumer right that cannot legally be waived.

Diagnostic and Repair Limitations

Automotive electronic faults can be caused by multiple interacting systems. A symptom or fault code does not necessarily prove that a particular module is defective.

Testing an item on a bench may not reproduce every condition present in the vehicle. A successful bench test does not guarantee that the vehicle will function correctly after installation when wiring, sensors, power supply, networks, software, coding, mechanical components, or other modules are defective.

Some modules may fail during ordinary diagnostic, data-reading, programming, or repair procedures because of pre-existing damage, corrosion, unstable memory, component deterioration, or previous modification. We will exercise reasonable care but cannot guarantee recovery of every damaged module or dataset.

Unless expressly stated in writing, we do not guarantee that a serviced module will be “plug and play.” Additional installation, programming, coding, adaptation, initialization, calibration, or dealer-level procedures may be required.

Safety-Critical Systems

Services involving airbags, SRS modules, ABS systems, steering systems, immobilizers, engine controls, batteries, and other safety-related components must be followed by proper installation, inspection, scanning, calibration, and testing by a qualified automotive professional.

Crash-data removal or module reset does not repair or replace deployed airbags, seat-belt pretensioners, crash sensors, wiring, structural damage, or any other damaged safety component.

Do not operate a vehicle until all required repairs and safety checks have been completed. You assume responsibility for vehicle installation and final verification.

Prohibited Uses

You may not use the Website or services to:

alter an odometer or conceal true vehicle mileage;

bypass emissions or safety requirements unlawfully;

access, clone, or modify a stolen vehicle or component;

defeat an immobilizer or security system without authorization;

commit fraud, theft, or misrepresentation;

infringe intellectual-property or privacy rights;

introduce malware or interfere with the Website; or

violate any applicable law or regulation.

We may reject an order, suspend an account, preserve relevant records, or cooperate with lawful authorities when we reasonably suspect prohibited activity.

Dealer Accounts

Dealer accounts are available only to applicants approved by Pro Programming USA. Dealer status, pricing, payment terms, credits, and service benefits are discretionary and may be modified or withdrawn.

Dealers are responsible for:

maintaining accurate account information;

protecting login credentials;

all orders submitted through their accounts;

obtaining authorization from their customers;

communicating applicable service limitations to their customers; and

inspecting completed work before returning a vehicle to a customer.

Dealer accounts may not be transferred or shared without permission.

Intellectual Property

The Website and its original content, branding, graphics, service descriptions, software, and other materials are owned by or licensed to Pro Programming USA and are protected by applicable intellectual-property laws.

You may use the Website only for personal or internal business purposes related to obtaining our services. You may not copy, reproduce, republish, sell, scrape, or commercially exploit Website content without prior written permission.

You retain ownership of the information and files you submit. You grant us a limited license to use them as reasonably necessary to evaluate, perform, document, support, and improve the requested service.

Privacy

Our collection and handling of personal information are described in our Privacy Policy. We may collect information such as your name, email address, phone number, VIN, shipping address, order details, uploaded files, and Website usage information.

Stripe processes payment information under its own terms and privacy practices.

Disclaimer of Warranties

Except for the limited warranty expressly stated in Section 9 and to the fullest extent permitted by law, the Website and services are provided “as is” and “as available.”

We disclaim implied warranties, including warranties of merchantability, fitness for a particular purpose, and noninfringement, to the extent those warranties may lawfully be disclaimed.

We do not warrant that the Website will always be uninterrupted or error-free, or that every module can be repaired, recovered, cloned, programmed, or made compatible with a particular vehicle.

Limitation of Liability

To the fullest extent permitted by law, Pro Programming USA and Artem Matusiak will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, loss of use, towing, storage, rental vehicles, lost data, lost business, labor charges, diagnostic costs, or vehicle downtime.

To the fullest extent permitted by law, our total liability arising from a particular order will not exceed the amount you paid to us for the service giving rise to the claim.

These limitations do not apply where liability cannot legally be limited or excluded.

Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Pro Programming USA and Artem Matusiak from third-party claims, damages, liabilities, and reasonable expenses arising from:

your unlawful or unauthorized request;

inaccurate information supplied by you;

improper installation or use of a serviced item;

your violation of these Terms; or

your violation of another person’s rights.

This provision does not require you to indemnify us for our own fraud, willful misconduct, or liability that cannot legally be shifted to you.

Unclaimed Property

If you do not pay an outstanding balance, provide required instructions, or accept return delivery, we may send notice using the contact information associated with the order.

Items remaining unclaimed may be subject to storage charges or lawful disposal after reasonable notice and any period required by applicable law. We will not treat an item as abandoned earlier than permitted by law.

Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Before filing a claim, you agree to contact us at proprogrammingusa1@gmail.com and provide a reasonable opportunity to resolve the dispute informally.

Subject to any consumer right that cannot be waived, disputes relating to these Terms or our services will be brought in a court of competent jurisdiction located in Sacramento County, California.

Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on the Website with a revised effective date.

Changes apply prospectively and do not materially alter an order already accepted unless required by law or agreed by the customer.

Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver of that provision.

These Terms, together with an accepted estimate, invoice, order confirmation, Privacy Policy, and any written dealer agreement, constitute the agreement between you and Pro Programming USA concerning the applicable services.
